Affiliate & Brand Ambassador Agreement

1. Introduction and Acceptance

This Affiliate & Brand Ambassador Agreement ("Agreement") is entered into between RIG53, Inc.("RIG53," "we," "us," or "our"), a Delaware corporation operating the RIG53 platform at rig53.com, and the individual or entity who has submitted an affiliate application and checked the "I agree to the Affiliate & Brand Ambassador Agreement" checkbox on the application form ("Affiliate," "you," or "your").

By checking the acceptance checkbox and submitting your affiliate application, you acknowledge that you have read, understood, and agree to be legally bound by the terms of this Agreement. Your agreement timestamp is recorded and stored by RIG53. This Agreement becomes effective upon your acceptance and remains in effect until terminated in accordance with Section 9.

2. Affiliate Program Overview

RIG53 operates a tiered Affiliate & Brand Ambassador Program designed to reward individuals and businesses who promote the RIG53 platform — a B2B logistics operating system and professional network serving the commercial trucking industry — to qualified new users.

Participation in this program is voluntary, subject to RIG53's approval, and does not create an employment, agency, partnership, joint venture, or franchise relationship between you and RIG53.

3. FTC Disclosure Requirements (16 CFR Part 255)

3.1 Mandatory Disclosure Obligation

The Federal Trade Commission ("FTC") requires that any person who promotes a product or service in exchange for compensation disclose that material connection clearly and conspicuously. As an Affiliate, you receive platform credits (and potentially cash compensation) for referrals. This constitutes a material connection under 16 CFR Part 255 — Guides Concerning the Use of Endorsements and Testimonials in Advertising.

3.2 What You Must Disclose

Whenever you promote RIG53 — in social media posts, videos, blog content, email campaigns, podcasts, forum posts, direct messages, or any other medium — you must clearly disclose your affiliate relationship in a manner that is:

  • Conspicuous: placed where a reasonable person will see or hear it before engaging with the promotional content;
  • Clear: written in plain language (e.g., "I earn rewards from RIG53 when you sign up using my link" or "#Ad" / "#Sponsored" combined with an explicit statement of the relationship);
  • Proximate: placed near the promotional claim or at the start of any video or audio content, not buried in disclosures or footnotes.

"I am a RIG53 Brand Ambassador and earn platform credits when you join using my referral link."

"[Affiliate / Paid Partnership] — I receive rewards from RIG53 for referrals made through this link."

3.3 Platform-Specific Requirements

  • Instagram / TikTok / YouTube:Use the platform's native paid partnership or branded content disclosure tool AND include a written/verbal statement.
  • Twitter / X: Include disclosure within the tweet body, not only in a thread reply.
  • Email: Include disclosure in the email body above the referral link.
  • Podcasts / Videos: Verbal disclosure at the beginning of the segment, not only in the description.

3.4 Consequences of Non-Disclosure

Failure to make required disclosures may expose you to personal liability under FTC regulations. RIG53 reserves the right to suspend or terminate your affiliate account without notice if non-disclosure is identified, and to withhold any pending credits during investigation.

4. Commission Structure and Tiers

4.1 Tiers

Your tier is determined by RIG53 based on your cumulative performance. Tier upgrades are applied by RIG53 at its discretion.

4.2 Qualifying Events and Base Credit Amounts

Credits are awarded when a referred user ("Referred User") completes a qualifying event. Base credit amounts are subject to change at RIG53's discretion with 14 days' notice posted to the affiliate dashboard.

Each qualifying event may only be credited once per Referred User.

4.3 Credit Attribution and Tracking Duration

Credits are attributed to your affiliate account based on the referral code attached to the Referred User's registration. Attribution is final once recorded. RIG53 does not support retroactive attribution or re-attribution between affiliates.

Referral tracking is perpetual. Your referral record for a given Referred User does not expire. If a Referred User completes a qualifying event months or years after registration — including future qualifying events introduced when new platform features launch — you will receive credit for that event, provided your affiliate account is in good standing at the time of the event and the referral has not been flagged or invalidated under Section 7.

4.4 No Double-Counting

If a user registers using both an affiliate referral code and an invitation code, the referral code governs credit attribution for commission purposes. Only one affiliate may be credited per Referred User.

5. Payment Terms

5.1 Platform Credits

Platform credits are the primary compensation currency for this program. Credits are awarded to your RIG53 platform balance automatically upon each qualifying event, subject to fraud review. Credits have no cash value unless and until RIG53 activates a cash payout feature.

5.2 Cash Payouts (Planned — Not Yet Available)

Cash payouts via Stripe Transfer are a planned future feature. RIG53 has no current obligation to provide cash payouts. When cash payout capability launches, RIG53 will publish a separate payout schedule, minimum threshold, and eligibility criteria with at least 14 days' advance notice.

Early affiliates get first access. Affiliates enrolled before the cash payout system launches will be given priority access to enroll in the cash payout program. Credits accumulated prior to payout launch will count toward any minimum threshold published at launch time, subject to the payout terms in effect then.

5.3 Taxes

You are solely responsible for reporting and paying all applicable taxes on compensation received through this program. RIG53 may issue IRS Form 1099-NEC if required by law. You agree to provide accurate tax identification information upon request.

5.4 Currency and Adjustments

RIG53 reserves the right to adjust credit balances in the event of fraud, error, disputed referrals, chargebacks, or violations of this Agreement. Adjustments will be communicated via your affiliate dashboard.

6. Prohibited Promotion Methods

The following promotion methods are strictly prohibited. Violation may result in immediate suspension, account termination, and forfeiture of all earned credits.

6.1 Spam and Unsolicited Communications

You may not promote RIG53 via unsolicited email ("spam"), unsolicited direct messages, SMS blasts, or any communication sent in violation of the CAN-SPAM Act (15 U.S.C. §7701), the Telephone Consumer Protection Act (TCPA), or applicable anti-spam laws.

6.2 Cookie Stuffing and Tracking Manipulation

You may not artificially place RIG53 tracking cookies on users' devices without their knowledge or consent, force-redirect users through your referral link without genuine promotional intent, or engage in any practice designed to fraudulently generate referral credit without a genuine user referral.

6.3 Misleading Claims and Deceptive Advertising

You may not make false, misleading, or unsubstantiated claims about RIG53, its services, features, pricing, or results. You may not guarantee specific earnings, employment opportunities, or outcomes to prospective users.

6.4 Self-Referral

You may not refer yourself, family members living in the same household, or entities you own or control in order to generate referral credits. Self-referrals are detected automatically and result in immediate credit reversal and account review.

6.5 Purchasing Followers, Traffic, or Reviews

You may not purchase fake followers, bot traffic, or engagement to inflate the appearance of your reach. You may not solicit, purchase, or incentivise fake reviews or testimonials about RIG53.

6.6 Incentivised Reviews Without Disclosure

You may not offer payment, gifts, or other incentives to third parties in exchange for reviews of RIG53 without full FTC-compliant disclosure.

6.7 Impersonation and Unauthorized Branding

You may not create websites, social accounts, or materials that impersonate RIG53 or could reasonably be mistaken for official RIG53 communications. You may not register domain names incorporating "RIG53" or confusingly similar terms.

6.8 Content Targeting Minors

You may not direct affiliate promotions to individuals under the age of 18.

7. Fraud and Abuse Policy

7.1 Fraud Detection

RIG53 employs automated and manual fraud detection systems that monitor for indicators including: unusual registration patterns from a single IP address, disposable email addresses, rapid sequential referrals, self-referral attempts, and abnormal conversion rates.

7.2 Flagged Referrals

Referrals identified as suspicious are flagged and excluded from credit processing. RIG53 will notify you of flagged referrals via your affiliate dashboard; you may request a review by contacting affiliates@rig53.com within 30 days of flagging.

7.3 Suspension and Termination for Fraud

If RIG53 determines, in its reasonable judgment, that you have engaged in fraudulent activity, RIG53 may immediately suspend your affiliate account, reverse all credits earned through fraudulent referrals, terminate your affiliate account without notice, and pursue civil or criminal remedies as permitted by law.

7.4 Dispute Process

Suspected fraud determinations may be disputed by emailing affiliates@rig53.com within 30 days of notification. RIG53 will review disputes and respond within 14 business days. RIG53's decision following a dispute review is final.

8. Intellectual Property

8.1 License to Use RIG53 Brand

RIG53 grants you a limited, non-exclusive, non-transferable, revocable license to use RIG53's name, trademarks, and approved promotional materials solely for the purpose of promoting the RIG53 platform in accordance with this Agreement and RIG53's Brand Guidelines. This license terminates immediately upon termination of this Agreement.

8.2 Your Content

You retain ownership of content you create to promote RIG53. By creating promotional content that incorporates RIG53 materials, you grant RIG53 a perpetual, royalty-free license to share, republish, or reference your promotional content for RIG53's own marketing purposes, with attribution to you.

8.3 No Implied Rights

Nothing in this Agreement transfers ownership of RIG53's intellectual property to you. You may not modify, adapt, or create derivative works of RIG53's marks without written approval.

9. Term and Termination

9.1 Term

This Agreement begins on your acceptance date and continues indefinitely unless terminated as described in this section.

9.2 Termination Without Cause

Either party may terminate this Agreement at any time for any reason with 30 days' written notice. You may terminate by emailing affiliates@rig53.com. RIG53 may terminate by notifying you via your registered email or affiliate dashboard. During the 30-day notice period, your affiliate account remains active and referrals continue to accrue normally.

9.3 Termination for Cause

RIG53 may terminate this Agreement immediately and without notice in the event of fraud, misrepresentation, or abuse as described in Section 7; violation of the prohibited promotion methods in Section 6; breach of any material term of this Agreement; or activity that damages RIG53's reputation or violates applicable law.

9.4 Effect of Termination

  • Your referral link and code are deactivated immediately;
  • Credits earned from legitimate referrals prior to the termination date are retained in your platform balance and remain usable on the platform, subject to the Platform Credits Policy;
  • Credits earned through fraud or prohibited methods are forfeited in full;
  • The license granted in Section 8.1 terminates immediately — you must cease all use of RIG53 trademarks and promotional materials.

9.5 Survival

Sections 3 (FTC Disclosure), 7 (Fraud), 8 (IP), 10 (Limitation of Liability), 11 (Indemnification), 12 (Governing Law), and this Section 9.5 survive termination.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RIG53 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT OR THE AFFILIATE PROGRAM, INCLUDING LOSS OF PROFITS, LOSS OF CREDITS, OR LOSS OF BUSINESS OPPORTUNITY. RIG53'S TOTAL LIABILITY TO YOU UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL CREDITS OR CASH COMPENSATION PAID TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless RIG53, its officers, directors, employees, and agents from and against any claims, damages, losses, penalties, fines, or expenses (including reasonable attorneys' fees) arising from: (a) your promotional activities; (b) your violation of this Agreement; (c) your violation of applicable law; or (d) your infringement of any third-party rights.

12. Governing Law and Dispute Resolution

12.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

12.2 Informal Resolution

Before initiating any formal proceeding, you agree to contact RIG53 at affiliates@rig53.com and attempt to resolve any dispute informally for at least 30 days.

12.3 Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Wilmington, Delaware. The arbitrator's decision shall be final and binding. You waive any right to participate in a class action or class-wide arbitration.

12.4 Small Claims Carve-Out

Notwithstanding the above, either party may bring an individual claim in small claims court if the claim qualifies.

13. Representations and Warranties

You represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal authority to enter into this Agreement;
  • Your promotional activities will comply with all applicable laws and regulations, including FTC guidelines;
  • You will not make representations about RIG53 beyond what is contained in RIG53's published materials without prior written approval.

14. Modification of Agreement

RIG53 reserves the right to modify this Agreement at any time. Material changes will be communicated to your registered email address or via the affiliate dashboard at least 14 days before taking effect. Continued participation in the affiliate program after the effective date of any modification constitutes acceptance of the revised Agreement. If you do not accept the revised terms, you must terminate your participation as described in Section 9.2 before the effective date.

15. Miscellaneous

15.1 Entire Agreement

This Agreement, together with the Platform Terms of Service and Privacy Policy, constitutes the entire agreement between you and RIG53 regarding the affiliate program and supersedes all prior agreements.

15.2 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Failure by RIG53 to enforce any provision of this Agreement does not constitute a waiver of its right to enforce that provision in the future.

15.4 Assignment

You may not assign your rights or obligations under this Agreement without RIG53's prior written consent. RIG53 may assign this Agreement in connection with a merger, acquisition, or sale of assets.

15.5 Independent Contractor

You are an independent contractor. Nothing in this Agreement creates an employment, agency, franchise, or partnership relationship. You are solely responsible for your own taxes, insurance, and compliance obligations.
